The Growing Importance of Compliance and Risk Management in UK Law Firms

In recent weeks, law firms have faced a wave of new fines and the Solicitors Regulation Authority (SRA) has maintained its strict approach towards firms that fail to meet their regulatory obligations.

It is essential for firms to adopt a robust and effective compliance and risk management strategy for their policies, controls and procedures (PCPs). Additionally, they must be able to demonstrate their adherence to these standards through accurate monitoring, recording, and reporting.

The most common reasons for the recent sanctions against firms include:

  • Inadequate Anti-Money Laundering (AML) Compliance: A significant number of firms have been sanctioned for failing to implement effective AML training, policies, controls, and procedures.
  • Failure to Conduct Proper Client Due Diligence: Sanctions have been imposed on firms that neglected to perform adequate due diligence on clients, especially in high-risk sectors like conveyancing. This includes not verifying clients’ identities or failing to assess the legitimacy of funds involved in transactions and not carrying out enhanced due diligence when required.
  • Inadequate Handling of Client Money: Some firms have faced sanctions due to poor management of client accounts, including failing to promptly return client funds or improperly mixing client money with the firm’s funds.
  • Inadequate Firm-Wide Risk Assessments: Many firms have been sanctioned for failing to develop comprehensive firm-wide risk assessments as required by the Money Laundering Regulations.
  • Lack of or Inadequate Policies, Controls, and Procedures (PCPs): Sanctions have been imposed on firms that lack adequate AML PCPs. Typically, this has been for failures to implement written policies, establish internal controls, and maintain effective procedures to prevent money laundering and terrorist financing.

The financial penalties have varied significantly in severity. Among the most serious consequences was a personal fine of £25,000 for the compliance officer in breach of the rules, with the same amount sanctioned against the firm they worked for.
